Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services, website, and products offered by Taw Studios(“we,” “our,” or “us”). By engaging our services or using our platform, you agree to be bound by these Terms. If you are a business based in Nairobi or elsewhere in Kenya, these Terms form a binding contract between you and Taw Studios.

1. Our Services

Taw Studios provides software engineering, AI automation, digital marketing, branding, and social media management services tailored to Kenyan businesses and enterprises across East Africa. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Service Agreement or Statement of Work signed by both parties.

All services are delivered remotely from our Nairobi office or on site as agreed. We reserve the right to refuse service to any client or project that does not align with our values or capacity.

2. Client Responsibilities

You agree to provide timely access to any materials, information, systems, or personnel reasonably required for us to perform the services. Delays caused by late or incomplete client input may result in adjusted timelines or additional costs.

You represent that you have the authority to enter into these Terms on behalf of your business or organisation and that all information you provide is accurate and complete.

3. Intellectual Property

Upon full payment of all fees due, we assign to you full ownership of the final deliverables specifically created for your project. Taw Studios retains a perpetual, non exclusive license to display completed work in our portfolio, website, and marketing materials unless a mutual non disclosure agreement is in place.

We retain all rights to our pre existing tools, frameworks, libraries, and methodologies used in delivering the services. Any third party assets (fonts, icons, stock media) are licensed under their respective terms.

4. Payment Terms

Fees are quoted in Kenyan Shillings (KES) unless otherwise agreed. Invoices are payable within 14 days of receipt unless other terms are specified in your Service Agreement. Late payments may incur a 5% monthly administration fee on the outstanding balance.

For projects exceeding KSh 100,000, we require a 50% deposit before work commences, with the balance due on completion or as otherwise staged in the agreement.

5. Limitation of Liability

To the maximum extent permitted by Kenyan law, Taw Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity, arising out of or in connection with our services.

Our total liability for any claim arising from these Terms or our services is limited to the total fees paid by you for the specific engagement giving rise to the claim.

6. Termination

Either party may terminate a service agreement with 14 days written notice. Upon termination, you are liable for all work completed up to the termination date. We will deliver all finished or in progress work products upon payment of fees due.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall first be referred to mediation in Nairobi, and if unresolved, to the exclusive jurisdiction of the courts of Kenya.
